
End-User License Agreement & Terms of Use
Effective September 30, 2026
These Terms of Use and End-User License Agreement (the “Terms”) govern your access to and use of the Cook M&A Advisors Business Owner Portal (the “Portal”). By accessing or using the Portal, you agree to these Terms. If you do not agree, do not use the Portal.
1. License to use the Portal
Cook M&A grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Portal solely for your own business purposes in connection with a potential sale, merger, or capital raise, and in accordance with these Terms. Access is by invitation only and is personal to you and your authorized representatives.
2. Your account & security
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. The Portal requires multi-factor authentication; you agree to keep it enabled. Notify us promptly of any unauthorized access. Do not share your account with anyone who is not an authorized representative.
3. Your content & ownership
You retain all ownership of the information, documents, and data you provide or connect (“Your Content”). You grant Cook M&A a limited license to use, process, and store Your Content solely to provide the Portal and the related M&A advisory services to you, and to share it only as described in our Privacy Policy (including that disclosure to prospective partners occurs only with your approval). You represent that you have the right to provide Your Content.
4. QuickBooks Online integration
The Portal offers an optional integration with Intuit QuickBooks Online. If you connect it, you authorize read-only access to certain accounting data as described in our Privacy Policy. Your use of QuickBooks Online remains subject to Intuit’s own terms and policies. You may disconnect the integration at any time from the Documents page or from your Intuit account. Cook M&A is not responsible for Intuit’s services or for data within your Intuit account.
5. Acceptable use
You agree not to:
- use the Portal for any unlawful purpose or in violation of these Terms;
- upload content you do not have the right to share, or that is malicious or infringing;
- attempt to access data or accounts that are not yours, or probe or breach security;
- interfere with or disrupt the Portal or its infrastructure; or
- reverse engineer, copy, or resell the Portal.
6. Confidentiality
Cook M&A treats Your Content as confidential and uses it only as described in these Terms and the Privacy Policy. You likewise agree to keep confidential any non-public information you access through the Portal.
7. No professional advice guarantee
The Portal supports Cook M&A’s advisory services but does not itself constitute legal, tax, accounting, or investment advice, and does not guarantee any transaction, valuation, or outcome. Any analysis or matching provided is for informational purposes and should be independently verified.
8. Disclaimers
The Portal is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Portal will be uninterrupted or error-free.
9. Limitation of liability
To the maximum extent permitted by law, Cook M&A will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or relating to your use of the Portal. Nothing in these Terms limits liability that cannot be limited under applicable law.
10. Termination
We may suspend or terminate your access at any time, including if you violate these Terms or your engagement with Cook M&A ends. You may stop using the Portal at any time. Sections that by their nature should survive termination will survive.
11. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and revise the effective date. Your continued use after changes take effect constitutes acceptance.
12. Governing law
These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules, and you consent to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois for any dispute arising from these Terms or the Portal.
